Welcome to Tally Budget! These Terms of Service ("Terms") govern your access to and use of the Tally Budget mobile application and related services (collectively, the "Service") operated by Epic Logistics LLC ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Tally Budget, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Tally Budget is a personal finance management application that allows users to:

  • Create and manage budgets
  • Track income and expenses
  • Categorize transactions
  • Set savings goals
  • Share budgets with household members
  • Set up recurring transactions
  • Receive push notifications about budget activity

3. Account Registration and Responsibilities

3.1 Account Creation

To use certain features of the Service, you must create an account by providing:

  • A valid email address
  • A secure password
  • Any other information requested during registration

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring the accuracy and completeness of information you provide

3.3 Account Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that:

  • You are at least 13 years of age
  • You have the legal capacity to enter into these Terms
  • Your use of the Service will not violate any applicable law or regulation

4. Acceptable Use

4.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service:

  • For personal financial management purposes
  • In compliance with all applicable laws and regulations
  • In a manner that does not infringe upon the rights of others

4.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
  • Transmit any viruses, malware, or other malicious code
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems (bots, scrapers) to access the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Remove, alter, or obscure any proprietary notices or labels
  • Use the Service to store or transmit any content that is defamatory, obscene, or violates any third-party rights
  • Share your account credentials with others
  • Create multiple accounts to circumvent subscription limitations

5. Subscription and Billing

5.1 Subscription Plans

Tally Budget offers premium subscription plans with the following features:

  • Monthly Plan: Billed monthly on a recurring basis
  • Annual Plan: Billed annually on a recurring basis

Subscription plans provide access to all features of the Service.

5.2 Billing

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You authorize us to charge your payment method for all subscription fees
  • Subscription fees are charged in advance for the billing period
  • All fees are non-refundable except as required by law or as stated in these Terms
  • We reserve the right to change subscription fees with 30 days' notice

5.3 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms of service and privacy policy. We do not store your full payment card details on our servers.

5.4 Cancellation

You may cancel your subscription at any time through the app settings or by contacting us at will@tallybudget.app. Cancellation will take effect at the end of your current billing period. You will continue to have access to premium features until the end of your paid period.

5.5 Refunds

Refunds are provided only in the following circumstances:

  • As required by applicable law
  • In cases of technical errors that prevent service access
  • At our sole discretion

6. User-Generated Content

6.1 Your Content

You retain ownership of all content you create, upload, or submit through the Service, including:

  • Budgets and budget categories
  • Transactions and transaction details
  • Savings goals
  • Household information
  • Any other data you input into the Service

6.2 License to Us

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display your content as necessary to provide the Service
  • Use aggregated, anonymized data for analytics and service improvement
  • Backup your data to ensure service continuity

6.3 Content Responsibility

You are solely responsible for:

  • The accuracy and completeness of your financial data
  • Ensuring your content does not violate any laws or third-party rights
  • Maintaining backups of your important data

7. Household Sharing and Collaboration

7.1 Household Features

The Service allows you to create households and share budgets with other users. When you:

  • Create a household, you become the owner
  • Invite members to a household, you are responsible for ensuring you have permission to share their information
  • Accept an invitation, you agree to share your financial data with other household members

7.2 Shared Data Access

Household members with appropriate permissions can:

  • View shared budgets and transactions
  • Add, edit, or delete transactions in shared budgets
  • View household savings goals

7.3 Your Responsibilities

You are responsible for:

  • Only inviting users you trust to your household
  • Ensuring all household members understand the implications of shared access
  • Managing household member permissions appropriately
  • Removing members who should no longer have access

We are not responsible for any disputes between household members or unauthorized access resulting from your sharing decisions.

8. Intellectual Property Rights

8.1 Service Ownership

The Service, including its original content, features, functionality, design, and trademarks, is owned by Epic Logistics LLC and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for your personal, non-commercial use
  • Download and install the mobile application on your personal devices

This license does not include the right to:

  • Resell or commercially use the Service
  • Modify or create derivative works
  • Use our trademarks or logos without permission

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Disclaimers and Warranties

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

10.2 No Financial Advice

Tally Budget is a tool for tracking and organizing your financial information. We do not provide:

  • Financial, investment, or tax advice
  • Recommendations for financial products or services
  • Guarantees about your financial outcomes

You should consult with qualified financial professionals for advice regarding your specific financial situation.

10.3 Data Accuracy

While we strive to ensure the Service functions correctly, we do not guarantee:

  • The accuracy, completeness, or timeliness of your data
  • That the Service will be error-free or uninterrupted
  • That defects will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EPIC LOGISTICS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or use
  • Business interruption
  • Loss of goodwill
  • Costs of procurement of substitute services

ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Epic Logistics LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or data

13. Termination

13.1 Termination by You

You may stop using the Service at any time by:

  • Cancelling your subscription (if applicable)
  • Deleting your account through the app settings
  • Contacting us at will@tallybudget.app

13.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Your breach of these Terms
  • Your violation of any applicable law
  • Your engagement in fraudulent, abusive, or illegal activity
  • Extended periods of account inactivity
  • At our sole discretion

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and data, subject to our data retention policies
  • All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will:

  • Provide notice through the Service or via email
  • Update the "Last Updated" date at the top of this document
  • In some cases, require you to accept the new Terms to continue using the Service

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, United States, without regard to its conflict of law provisions.

15.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Mississippi, United States.

15.3 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at will@tallybudget.app. We will try to resolve the dispute within 30 days.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Epic Logistics LLC regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet or telecommunications failures.
